Standoff with Noel Tata: What led to N Chandrasekaran’s exit as Tata Sons chairman
N Chandrasekaran’s decision to step down as Tata Sons chairman ends months of uncertainty surrounding his possible extension at the group. His current tenure ends in February 2027 and he will continue to serve his full term.The 63-year-old Chandrasekaran, who has been associated with the Tata Group for four decades, informed the Tata Sons board on Wednesday that he would not seek another term after his tenure expires on February 20, 2027. He also urged the board to identify his successor at the earliest to facilitate an orderly leadership transition.Tata Sons, the holding company of the Tata Group, is majority-owned by Tata Trusts and oversees more than 30 companies, including Tata Consultancy Services, Tata Motors and Air India.

N Chandrasekaran’s exit ends nearly a decade at the helm of one of India’s most influential business groups. According to a PTI report, Chandrasekaran’s resignation comes following a prolonged deadlock with Tata Trusts Chairman Noel Tata over his reappointment.The resignation comes after months of uncertainty surrounding his future at Tata Sons, the holding company and principal promoter of the Tata Group. Philanthropic trusts together own 66 per cent of Tata Sons, giving Tata Trusts considerable influence over the governance of the conglomerate.Also Read | Why N Chandrasekaran is stepping down as Tata Sons chairman: Full statementPopularly known as Chandra, he said the Sir Dorabji Tata Trust and the Sir Ratan Tata Trust, which jointly own 51.54 per cent of Tata Sons, had unanimously backed a five-year extension of his tenure.According to Chandra, the proposal was subsequently endorsed by the Tata Sons Nomination and Remuneration Committee before being recommended by the company’s board.The recommendation was placed before the board at its meeting on February 24 this year but did not receive approval after one director withheld support.Without identifying the dissenting director, Chandrasekaran said he decided not to press ahead with the proposal because unanimous backing was absent.After six months without a resolution, he said the continuing uncertainty over leadership had become unsustainable, particularly at a time when Tata Sons is overseeing several strategic projects that are at crucial stages.The prolonged stalemate has been linked to differences between Chandrasekaran and Noel Tata, who assumed the chairmanship of Tata Trusts in 2024 following the death of Ratan Tata, PTI reported.According to reports, Noel Tata had sought assurances that Tata Sons would not pursue a public listing, a position that Chandrasekaran did not support. The differences also extended to issues relating to board representation.Reports also said Noel Tata had sought greater clarity from Chandrasekaran on the group’s five-year strategic roadmap, possible options to provide an exit to the Shapoorji Pallonji Group without listing Tata Sons, and his views on the long-discussed proposal to take Tata Sons public.The differences within the group did not bring board functioning to a standstill. What N Chandrasekaran said
In a statement issued on Wednesday, Chandrasekaran reflected on his four-decade association with the conglomerate. “I have completed 40 years of professional life at the Tata Group. I am grateful for the immensely satisfying opportunity to contribute to this venerable institution,” he said.Referring to the conclusion of his current tenure on February 20, 2027, Chandrasekaran said, “Sir Dorabji Tata Trust and Sir Ratan Tata Trust had unanimously resolved and recommended the extension of my next term for a period of five years, which was recorded and recommended by the Tata Sons Nomination and Remuneration Committee and the Board. Subsequently, the resolution was tabled in the Tata Sons Board on February 24, 2026.“He added, “However, the proposal was not carried through because one of the Board Members did not support it, and in the absence of unanimous support, I chose to defer the decision. It has been 6 months since that Board meeting, and no resolution has been reached till date.”Highlighting the importance of leadership continuity, Chandrasekaran said Tata Sons is a large institution with several strategic projects at critical stages of execution.“It is not only necessary to have a leader in place to lead the Group beyond February 2027, but also clarity on leadership is important for employees, investors, partners and other stakeholders,” he said. “Under these circumstances, earlier today, I have communicated to the Tata Sons Board, that I have decided not to offer myself for reappointment when my term ends on February 20, 2027. I have asked the Board to decide on the succession soon to ensure a proper transition.“
